Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Today's Vision Management Group LLC ("TodaysVision," "we," "us," or "our") governing your access to and use of the TodaysVision platform, website, applications, and related services at todaysvision.ai (the "Service").
By creating an account, clicking "I agree," or using the Service, you accept these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Service.
Please read Sections 5 (Your Compliance Obligations), 6 (Communications, TCPA, and Recording), 12 (AI and No Professional Advice), 14 (Disclaimers), 15 (Limitation of Liability), and 16 (Indemnification) carefully — they limit our liability and place important legal responsibilities on you.
1. The Service
TodaysVision is a software-as-a-service platform that helps real estate investors and acquisitions professionals manage leads, communications, outreach, mapping and field prospecting, document generation, and related workflows, including AI-assisted features. We may add, modify, or remove features over time.
2. Eligibility and accounts
- You must be at least 18 years old and capable of forming a binding contract.
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your account and for keeping your credentials secure. Notify us immediately of any unauthorized use.
- You are responsible for your authorized users' compliance with these Terms.
3. Subscriptions, fees, and payment
- The Service is offered on a subscription basis under the plan and pricing presented to you at sign-up or order. Fees, billing frequency, and included usage are described at the point of purchase.
- Billing. Subscriptions renew automatically for successive periods unless cancelled before the renewal date. You authorize us and our payment processor (Stripe) to charge your payment method for all fees.
- Usage-based charges. Certain features (such as telephony, SMS, and AI usage) may incur usage-based or pass-through costs. Any such charges or limits will be described in your plan.
- Taxes. Fees are exclusive of taxes; you are responsible for applicable taxes other than taxes on our net income.
- Non-payment. We may suspend or terminate access for overdue amounts.
- Refunds. Except where required by law or expressly stated, fees are non-refundable.
- Changes to pricing. We may change pricing on renewal with reasonable notice.
4. Your content and data
- Your content. You retain ownership of the leads, contacts, messages, documents, and other content you submit ("Customer Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, display, and use Customer Content solely to provide, secure, support, and improve the Service and as described in our Privacy Policy.
- Your responsibility for content. You represent that you have all rights and lawful bases necessary to provide Customer Content (including Lead Contact information) and to have us process it as contemplated by the Service. You are responsible for the accuracy and legality of Customer Content.
- Third-party data sources. If you import data from third-party providers (such as DealMachine or DealSauce), you are responsible for complying with those providers' terms and for your use of that data.
5. Your Compliance Obligations
You are solely responsible for your own compliance with all laws applicable to your use of the Service and your outreach to Lead Contacts. This includes, without limitation:
- The Telephone Consumer Protection Act (TCPA) and FCC regulations;
- State telemarketing, calling, and call-recording laws;
- The CAN-SPAM Act and email marketing laws;
- Federal and state Do-Not-Call requirements;
- Consumer privacy laws (such as the CCPA/CPRA) with respect to the Lead Contacts whose information you control; and
- All other applicable laws governing your business, marketing, and real estate activities.
For the personal information of your Lead Contacts, you are the "business" / "controller" and TodaysVision acts as a "service provider" / "processor" that processes that information on your behalf and at your direction. You are responsible for providing any privacy notices to, and obtaining any consents from, your Lead Contacts that the law requires, and for honoring their privacy rights.
You will not use the Service in any way that causes us or our providers (including telephony and messaging carriers) to violate any law, carrier rule, or messaging policy (such as 10DLC registration and content requirements).
6. Communications, TCPA, and Recording
The Service provides tools to place calls, send SMS/MMS and email, and record and transcribe calls. These are tools; you control how they are used, and you are responsible for lawful use. Specifically:
6.1 Consent and outreach
- You will obtain and maintain records of any consent required by law before contacting Lead Contacts, including prior express written consent where required for marketing calls or texts.
- You will honor opt-out / revocation requests (such as STOP, QUIT, CANCEL, UNSUBSCRIBE) promptly and within the timeframes required by law, and will maintain appropriate suppression lists.
- You will respect time-of-day restrictions ("quiet hours") and applicable federal and state calling/texting time limits.
- You will not contact numbers on applicable Do-Not-Call lists without a lawful basis, and you are responsible for risks associated with reassigned numbers.
- You will comply with all carrier and messaging-platform requirements, including campaign registration (e.g., 10DLC), approved content, and opt-in/opt-out handling.
6.2 Call recording
- The Service can record calls. Recording laws vary, and some jurisdictions (including California) require the consent of all parties to a call.
- You are responsible for determining whether recording is lawful for each call, for providing any required recording notice or disclosure to participants, and for obtaining any required consent before recording.
- You will not record calls where doing so is unlawful.
6.3 Your responsibility, our role
TodaysVision does not provide legal advice and does not assume your obligations as the sender, caller, or recorder. We may, but are not obligated to, provide features or settings intended to assist with compliance (such as opt-out handling or quiet-hours controls); the availability of such features does not transfer legal responsibility to us, and you remain solely responsible for your communications and recordings. We may suspend features or accounts that we reasonably believe create legal or carrier-compliance risk.
7. Location and field features
The Service includes location-based and field-prospecting features that use your device's geolocation (including live GPS tracking while active, pin-dropping, and reverse-geocoding) to help you capture properties and create leads. By enabling these features, you consent to our collection and use of location data as described in the Privacy Policy. You are responsible for using these features safely and lawfully, including not interacting with the Service in a manner that is unsafe while operating a vehicle. Do not use the drive-and-capture features while driving in a way that violates law or endangers anyone; pull over or have a passenger operate the device.
8. Acceptable use
You will not, and will not permit others to:
- Use the Service for any unlawful, harassing, deceptive, or fraudulent purpose;
- Send spam, or messages that are unlawful, threatening, abusive, or misleading;
- Violate the TCPA, CAN-SPAM, Do-Not-Call rules, recording laws, or carrier policies;
- Upload data you lack the right to use, or infringe others' intellectual property or privacy;
- Attempt to access another tenant's data or any system or data without authorization;
- Reverse engineer, decompile, scrape, or attempt to extract source code, except as permitted by law;
- Interfere with, overload, or disrupt the Service or its security;
- Resell, sublicense, or provide the Service to third parties except as expressly permitted;
- Use the Service to build a competing product or to train competing AI models.
We may investigate and take action (including suspension or termination) for violations.
9. Third-party services
The Service integrates third-party providers (including those listed in our Privacy Policy, such as Supabase, Vercel, Telnyx, Twilio, OpenAI, Anthropic, Stripe, DealMachine, DealSauce, and OpenStreetMap/Nominatim). Your use of features that rely on these providers may be subject to their terms, and we are not responsible for third-party services. We may change providers at our discretion.
10. Intellectual property
The Service, including its software, design, and content (excluding Customer Content), is owned by TodaysVision and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription, solely for your internal business purposes and subject to these Terms. We reserve all rights not expressly granted.
Feedback. If you provide suggestions or feedback, we may use it without restriction or obligation to you.
11. Service availability and changes
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, perform maintenance, or impose usage limits. We are not liable for any unavailability or changes.
12. AI and No Professional Advice
The Service includes AI-assisted features (including the "Iris" assistant, call summaries and transcriptions, lead scoring, and drafting tools) that use automated processing and machine-learning models.
- AI outputs may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing, verifying, and editing AI-generated content (including drafts, summaries, scores, and suggested actions) before relying on or sending it.
- No professional advice. TodaysVision and its AI features do not provide legal, financial, tax, real estate, investment, or other professional advice. Nothing in the Service is a substitute for advice from a qualified professional. Real estate transactions, financing structures (including creative-financing strategies), and outreach compliance carry legal and financial risk; consult your own attorney, CPA, and advisors.
- Your decisions are your own. You are solely responsible for the business, legal, and financial decisions you make using the Service.
13. Termination
- By you. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you remain responsible for fees incurred.
- By us. We may suspend or terminate your access for breach of these Terms, non-payment, legal risk, or as otherwise permitted.
- Effect. On termination, your right to use the Service ends. We will make Customer Content available for export for a limited period where reasonably practicable, after which we may delete it as described in the Privacy Policy. Sections that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnification, and dispute terms) survive termination.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DATA (INCLUDING THIRD-PARTY LEAD DATA, VALUATIONS, OR AI OUTPUTS) WILL BE ACCURATE, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR ENSURE YOUR LEGAL COMPLIANCE.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You will defend, indemnify, and hold harmless TodaysVision and its officers, members, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service; (c) your communications, calls, recordings, or outreach to Lead Contacts, including any alleged violation of the TCPA, CAN-SPAM, Do-Not-Call, recording, or privacy laws; (d) your violation of these Terms or applicable law; or (e) your violation of the rights of any third party (including Lead Contacts).
17. Governing law and disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Clark County, Nevada for any dispute not subject to arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction.
17.1 Binding Arbitration and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Except as set out in Section 17.2, you and TodaysVision agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small-claims court if it qualifies.
- Rules and administrator. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or its Commercial Rules where applicable), as then in effect. The AAA Rules are available at adr.org. The arbitration will be conducted by a single arbitrator.
- Venue and format. The arbitration will take place in Clark County, Nevada, or, at your election, by telephone, videoconference, or on the basis of written submissions, to the extent the AAA Rules allow.
- Governing law. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision; otherwise these Terms are governed by Nevada law as stated above.
- Arbitrator's authority. The arbitrator has exclusive authority to resolve any Dispute, including any question about the arbitrability of a Dispute, and may award the same damages and relief that a court could award on an individual basis.
CLASS-ACTION AND JURY WAIVER. You and TodaysVision agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class or representative proceeding. You and TodaysVision waive any right to a jury trial. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court, while all other claims remain in arbitration.
17.2 Exceptions and opt-out
- Exceptions. This arbitration provision does not require arbitration of: (a) individual claims in small-claims court; or (b) claims for injunctive or equitable relief to stop unauthorized use, infringement, or misuse of intellectual property or the Service.
- Right to opt out. You may opt out of this arbitration provision by sending written notice to office@todaysvision.ai within 30 days of first accepting these Terms, stating your name and that you decline to arbitrate. If you opt out, the governing-law and venue provisions in Section 17 (court jurisdiction) apply instead. Opting out of arbitration does not affect any other part of these Terms.
18. Changes to these Terms
We may update these Terms from time to time. When changes are material, we will update the "Last updated" date and provide notice where appropriate. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
19. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements.
- Severability. If any provision is unenforceable, the rest remains in effect.
- No waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
- Relationship. The parties are independent contractors; these Terms create no partnership, agency, or employment relationship.
